These terms & conditions govern the contract between you ("the Customer") and Portalbuilder Limited ("the Company").
Services Provided
The Company will provide the Customer with a Website and optional Add-Ons. If required the Company will obtain the Customer's chosen co.uk domain name (subject to availabilty) and manage it's renewal within the cost of the Standard Website Package. The Company can if required also provide email services.
Charges
The Company may charge the Customer a set-up fee plus an annual or monthly subscription fee depending on their chosen products and any discounts offered at the time of order. Monthly fees are payable by credit/debit card or by direct debit via PayPal.
Monthly Subscription Commencement
First collection will be no earlier than 7 days after the Customer's Website is created, and payments will be collected on either the 1st or 15th of each month.
Invoices
For accounting purposes, invoices for the Customer's fees will be issued annually by the Company.
Changes to the Subscription Fees
The Company reserves the right to increase the monthly fee upon providing a minimum of 60 days notice in writing.
Build and Customisation
For Free Website and Email Accounts, we will create and provide access to the online booking system website within 1 working day. The URL of the website will be in the format www.channelnameportals.co.uk/nnnnn where "nnnnn" is the customer's Unique Directory ID.
For Standard Websites with Add-On Packages, we usually aim to povide access to those services within 2 days following receipt of payment details. The URL of the website will be in the format www.channelnameportals.co.uk/nnnnn where "nnnnn" is the customer's Unique Directory ID, and in addition the website will be available on the customer's chosen domain name.
For our Hand Holding Service we operate a diary system and will agree a convenient time for the service to be provided. if you require content adding to your website we operate a 7 day turnaround period but this is dependent on:
- The Customer providing the Company with a copy of their company logo on digital media prior to commencement
- The Customer providing the Company with details of any fonts and colours used on their corporate livery, and if necessary, proof of licensed use of those fonts
Going Live - Standard Website Package
The Company will activate the Customer's website by pointing a domain name at it:
- Where the domain was purchased by the Company on the Customer's behalf; within 48 hours of receipt of the request
- Where the domain is not under our control; the Company will communicate the necessary steps the Customer needs to take to point their domain name at their IFAPortal website once the website is built.
Domain Names
If required, and at no cost to the Customer, for Standard Website Package, we will register their chosen co.uk domain name for them.
- All subsequent renewal fees will be paid by the Company provided that the Customer continues to subscribe to our services.
- If the Customer decides to transfer their domain name to another service, any costs incurred by the Company will be recharged to the Customer at cost plus a £50 administration fee, this fee may be waived at our discretion.
- If the Customer already has a domain name they wish to use, we will assist in its transfer as necessary. The Company will make no extra charge, but sometimes the registrar with which the Customer has registered their domain may require a transfer fee, which is payable by the Customer.
- There is no reduction in the monthly administration fee if the Customer already has their own domain name.
Email Addresses
Up to 5 Standard POP3 mailboxes may be requested with a Standard Website Package; Advanced and Exchange maiboxes are available at additional cost.
Hosting
Commercial web hosting on the Company's servers is included in the subscription charge.
Back Ups
The portal files and database will be backed up on a daily database. In the event of server failure, back ups will be restored free of charge.
Liability
- In no circumstances whatsoever will the Company be liable for economic, indirect or consequential loss arising from delays or service interruptions.
- The Company will not be responsible for loss occasioned by computer viruses, whether introduced by the Company's software or otherwise.
- The Company shall not be held liable for any loss or damage caused by the use, misuse, unavailability or removal of services.
- Whilst the Company shall expeditiously seek domain registration, the Company shall not be liable in the event of the domain having been registered by some other person by the time the Company seeks registration in which event a full refund will be paid to the Customer without any other liability on the part of the Company for loss by the Customer.
- The Company's total liability to the Customer in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of the contract shall be limited to the price paid by the Customer for the services.
- The Company shall not be liable to the Customer for any pure economic loss, loss of profit, loss of business, depletion of goodwill or otherwise, in each case whether direct, indirect or consequential, or any claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the contract.
- The Company will not be liable for any loss or damage resulting from its failure or delay in performing its obligations under the contract to the extent that such failure or delay arises from circumstances beyond its control.The parties do not intend that any of these terms & conditions will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.
Content Provided by Third Parties
The Customer's website may contain information, and may link to services, provided by third parties. The Company accepts no liability for any losses or damages incurred by the Customer or their clients from the use or non-availability of such content.
Termination
The Customer may cancel this arrangement at any time by providing the Company with 30 days notice. There is no minimum contract duration.
Copyright
The copyright for the content of the Customer's site, excluding all text and images provided by the Company or a third party, resides with the Customer.
